RateUp Platform Terms of Service

1.1 These RateUp Platform Terms of Service govern your access to and use of the RateUp website (www.rateup.cc) and mobile applications. These Terms constitute a legal agreement between you and the RateUp platform operator.

1.2 Please read these Terms carefully. By accessing ｏｒ using the platform, registering an account, ｏｒ clicking to accept these Terms, you, on behalf of yourself ｏｒ the entity you represent, agree to be bound by these Terms and all policies incorporated by reference (including but not limited to payment terms, community guidelines, and privacy policies). If you do not agree to all provisions of these Terms, please do not access ｏｒ use the platform.

Key Definitions

To avoid ambiguity, the following terms used in these Terms have the following specific meanings:

Buyer: A user who purchases services on the platform.

Seller/Freelancer: A user who provides and sells services on the platform.

Services/Projects: Services offered by sellers on the platform, available for purchase through project pages, customized quotes, etc.

Orders: A binding agreement between a buyer and seller for a specific service.

Customized Quotes: Exclusive service plans created by sellers for specific services.

AI Creation Models: Customized AI models trained by sellers using their existing work, used by buyers to generate new content.

AI-Generated Deliverables: Content output generated by the seller's AI creation model and purchased by the buyer.

3.1 You must be 18 years of age ｏｒ older and have full civil capacity to use this platform. If you are under 18 but at least 13 years of age, you may only use your account under the supervision and consent of your parent ｏｒ guardian.

3.2 You represent and warrant that you are not an individual ｏｒ entity subject to economic sanctions ｏｒ trade restrictions under the laws of the United States, the European ｕｎｉｏｎ, ｏｒ any other applicable jurisdiction.

3.3 You are responsible for maintaining the accuracy, security, and confidentiality of your account information. You are fully responsible for all activities occurring under your account.

4. Core Obligations of Buyer and Seller

4.1 Seller's Responsibilities

Service Description: The seller shall accurately describe its services and guarantee that it possesses all rights and licenses necessary to provide the services.

Delivery: The seller shall complete the order and deliver work conforming to the description within the agreed timeframe.

Independence: The seller provides the services as an independent contractor, not an employee of RateUp.

Intellectual Property Guarantee: The seller guarantees that the delivered work is original ｏｒ legally licensed and does not infringe upon the intellectual property rights of any third party.

AI Model Responsibility: Sellers using AI to create models must ensure that the data used to train the models is legal and compliant, and assume corresponding responsibility for the content output by the models.

4.2 Buyer's Obligations

Payment: The buyer shall complete payment through the payment channels designated by the platform.

Clear Requirements: The buyer shall provide a clear and complete description of its requirements to enable the seller to complete the order.

Content Review: The buyer is responsible for reviewing the delivered goods received, especially AI-generated deliverables, to ensure that they comply with all requirements, platform standards, and applicable laws.

Licensed Use: The buyer shall use the deliverables within the scope of the license granted by the seller.

5. Orders, Delivery, and Cancellation

5.1 An order is formally established upon successful payment by the buyer.

5.2 The seller shall deliver the work within the agreed timeframe. The buyer shall review the delivered work immediately upon receipt ｏｒ request modifications.

5.3 We encourage both parties to resolve disputes through communication. If negotiations fail, disputes can be handled through the platform's dispute resolution mechanism.

5.4 Order cancellation policy is detailed in the payment terms. In specific circumstances (e.g., serious breach of contract by the seller, copyright infringement of delivered work), RateUp reserves the right to intervene and cancel the order.

6.1 Seller's Retention of Rights: Unless otherwise expressly agreed, the seller retains all intellectual property rights to its work prior to delivery.

6.2 ｇｒａｎｔ of Rights: Upon full payment of the order amount, the seller shall ｇｒａｎｔ the buyer corresponding rights (e.g., full transfer of rights, commercial license, etc.) according to the service description ｏｒ agreement with the buyer. The specific scope of rights should be clearly stated on the service page ｏｒ in the customized quotation.

6.3 AI-Generated Deliverables: For AI-Generated Deliverables, upon full payment by the Buyer, the Seller grants the Buyer a global, perpetual, irrevocable license to use. Due to the nature of AI technology, we do not guarantee the uniqueness ｏｒ exclusivity of AI-Generated Deliverables.

6.4 Platform License: Users ｇｒａｎｔ RateUp a worldwide, royalty-free license to use content uploaded by Users (such as portfolios, reviews, etc.) for the purpose of operating and promoting the Platform.

7. User-Generated Content and Conduct

7.1 Users are solely legally responsible for all user-generated content they upload, post, ｏｒ transmit on the Platform.

7.2 Users shall not engage in the following activities:

Posting illegal, fraudulent, defamatory, obscene, ｏｒ rights-infringing content.

Attempting to bypass the Platform for off-platform transactions ｏｒ payments.

Harassing ｏｒ discriminating against other users ｏｒ RateUp employees.

Abusing the rating system, providing false ｏｒ malicious reviews.

Uploading viruses ｏｒ malicious code.

Unauthorized use of bots, crawlers, ｏｒ other automated tools to access the Platform.

8. Special Provisions for AI Services

8.1 Content Responsibility: Users using AI tools must ensure their input prompts and generated content comply with these Terms and the Community Standards.

8.2 Disclaimer: AI technology may produce inaccurate, biased, ｏｒ incomplete content. RateUp makes no warranties regarding the accuracy, reliability, ｏｒ fitness for purpose of AI-Generated Deliverables. Users should not rely on them as the sole basis for decision-making.

8.3 Rights and Similarity: Users understand and accept that, due to the learning mechanisms of AI models, different users may obtain similar ｏｒ identical output results. RateUp does not guarantee the uniqueness of AI-generated content.

9. Disclaimer and Limitation of Liability

9.1 Nature of Platform: RateUp is a neutral technology service platform providing transaction matching opportunities for Buyers and Sellers. We do not become a party to any Order and make no implied warranties regarding the quality, accuracy, ｏｒ timeliness of services provided by Sellers. All services on the Platform are provided solely based on the Seller. 

9.2 Liability Cap: To the maximum extent permitted by law, RateUp and its affiliates shall not be liable for any indirect, incidental, special, consequential, ｏｒ punitive damages ｆｒｏｍ your use of the Platform. Our total liability, if any, shall not exceed the total fees you paid to RateUp in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless RateUp and its affiliates ｆｒｏｍ and against any and all claims, damages, obligations, and expenses (including reasonable attorneys' fees) arising ｆｒｏｍ your breach of these Terms, infringement of any third-party rights (including intellectual property rights), ｏｒ your use of the Platform services.

11. International Use and Cross-Border Data Transfer

11.1 The Platform serves users globally. You are responsible for ensuring your use of the Platform complies with local laws and regulations in your country.

11.2 To provide services to you, your personal information may be transferred to, stored, and processed in countries outside your jurisdiction. You consent to such transfers and agree that we may process your data as set forth in the Privacy Policy.

12. General Terms

12.1 Modifications: We reserve the right to ｕｐｄａｔｅ these Terms at any time. Updated Terms will be posted on this page and become effective on the Latest ｕｐｄａｔｅ date. Your continued use of the Platform constitutes acceptance of the updated Terms.

12.2 Severability: If any provision of these Terms is found invalid ｏｒ unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.3 Governing Law and Dispute Resolution:

Governing Law: The interpretation and enforcement of these Terms shall be governed by the laws of [Singapore], without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising ｆｒｏｍ these Terms shall first be resolved through friendly negotiation. If negotiation fails, both parties agree to submit the dispute to the Singapore International Arbitration Centre (SIAC) for arbitration according to its rules in effect at the time. The seat of arbitration shall be Singapore, and the language of arbitration shall be English.

12.4 Entire Agreement: These Terms (including all incorporated policies) constitute the entire agreement between you and RateUp regarding the Platform services and exceed any prior oral ｏｒ written agreements.
